Terms of Service
Effective Date: February 28, 2026
These Terms of Service ("Terms") govern all services provided by Dods DesignWorks LLC ("DDW," "Company," "we," or "us"). By commissioning services from DDW, the client ("Customer" or "you") agrees to be bound by these Terms.
1. Services
DDW provides vertical wall UV printing services for residential and commercial properties, including interior and exterior surfaces. Scope of work will be defined in the approved estimate, invoice, or written agreement.
2. Artwork & Intellectual Property
- Customer-Provided Artwork: You represent and warrant that you own or have secured all necessary rights, licenses, and permissions for any artwork, logos, graphics, or images submitted for printing.
- Indemnification: You agree to indemnify, defend, and hold harmless DDW, including its members, employees, and agents, from any claims, damages, liabilities, costs, and attorney's fees arising from intellectual property infringement or unauthorized use of submitted materials. This indemnification obligation survives completion of the project.
- Right to Refuse: DDW reserves the right to refuse any project that includes content that is illegal, infringing, defamatory, obscene, or otherwise inappropriate at DDW's sole discretion.
3. Property Authorization & Permits
Customer represents that:
- They are the legal property owner or have obtained written authorization from the property owner.
- All required landlord approvals have been secured.
- Any required municipal permits, signage approvals, HOA approvals, or zoning compliance requirements have been obtained.
DDW is not responsible for determining or securing permits unless expressly agreed to in writing.
4. Proofing & Approval
A digital proof will be provided prior to printing. Approval of the proof constitutes authorization to proceed. DDW is not responsible for:
- Errors present in the approved proof
- Spelling, grammatical, or design errors
- Layout positioning approved by Customer
Colors may vary due to wall texture, surface porosity, lighting conditions, environmental factors, and exterior weather exposure. Exact color match to digital proofs is not guaranteed.
5. Surface Conditions
Customer is responsible for ensuring that surfaces are:
- Structurally sound
- Clean, dry, and properly primed
- Free of dust, grease, moisture, or peeling paint
DDW is not liable for:
- Adhesion failure due to wall condition
- Cracking, peeling, or flaking of paint
- Damage caused by pre-existing wall defects
- Print irregularities caused by textured or porous surfaces
Exterior prints are subject to weather exposure, UV degradation, and environmental wear. Longevity is not guaranteed unless specified in writing.
6. Site Access & Utilities
Customer agrees to provide:
- Safe and unobstructed access to the work area
- Adequate electrical power
- Removal of furniture, fixtures, or obstructions unless otherwise agreed
DDW may reschedule or charge additional fees if site conditions prevent safe or efficient completion.
7. Payment Terms
A non-refundable deposit of 25% is required to schedule the project. This deposit compensates DDW for project planning, scheduling, design preparation, and equipment allocation.
The remaining balance is due immediately upon completion and prior to final acceptance. Failure to remit payment may result in collection action. Customer is responsible for reasonable collection costs and attorney's fees if recovery becomes necessary.
8. Cancellation & Rescheduling
- Deposits are non-refundable.
- Cancellations within 72 hours of the scheduled installation may incur additional fees.
- Weather-related delays for exterior jobs may require rescheduling.
9. Limitation of Liability
To the maximum extent permitted by Missouri law: DDW shall not be liable for any incidental, indirect, special, exemplary, or consequential damages, including but not limited to loss of business, loss of revenue, or property value diminution. In no event shall DDW's total liability exceed the amount paid for the specific project giving rise to the claim. This limitation applies regardless of the legal theory asserted.
10. Warranty Disclaimer
Except as expressly stated in writing, DDW provides services "AS IS" without warranties of any kind, express or implied, including implied warranties of merchantability or fitness for a particular purpose. Exterior installations are inherently subject to environmental degradation.
11. Force Majeure
DDW is not liable for delays or failure to perform caused by events beyond its reasonable control, including but not limited to: weather conditions, equipment failure, supply chain disruption, government orders, or acts of God.
12. Insurance & Independent Contractor Status
DDW operates as an independent contractor and maintains appropriate business insurance coverage. Nothing in this agreement creates a partnership, joint venture, or employment relationship.
13. Governing Law & Venue
These Terms shall be governed by the laws of the State of Missouri. Any legal action shall be brought exclusively in the courts located in St. Louis County, Missouri.
14. Entire Agreement
These Terms, together with the approved estimate or invoice, constitute the entire agreement between the parties and supersede all prior discussions or representations. No modification shall be valid unless in writing and signed by both parties.
By commissioning services from Dods DesignWorks LLC, Customer acknowledges and agrees to these Terms of Service.
